3. These terms
3.1 These terms apply to any purchases you make on our website (site) or with us. Please read these terms carefully before you place any orders with us, as they set out important information about your and our rights and obligations. Please note that you must agree to these termsbefore you place your order.
3.2 For the purposes of these terms, you are a ‘consumer’ if you are buying products from our site as an individual for purposes wholly or mainly outside of your trade, business, craft or profession. You are a ‘business customer’ if you are buying products from us for purposes relating to your trade, business, craft or profession. Some terms only apply to your order if you are a consumer and other terms only apply to your order if you are a business customer, so please make sure you read these terms carefully.
3.3 Any reference to ‘we’, ‘us’or ‘our’ in these terms is to Butchers Pet Care Limited(trading as ‘Blink!’) and any reference to ‘you’ or ‘your’ is to the person placing an order on our site.
3.4 You must be at least 18 years old to place an order on our site. If you are a business customer placing an order on behalf of a business, you confirm that you have authority to place such order for and on behalf of that business.
3.5 We may make changes to these terms at any time. However, the terms which apply to your order will be those in force at the timeyou submitted your order to us.

4. Orders
4.1 Please check your order carefully and correct any errors before you submit it to us.
4.2 After you place your order, we will send you an acknowledgment email to let you know that we have received your order. This does not mean that your order has been accepted by us. Your order is an offer to buy products from us on these terms. If you notice an error with your order, you should notify as soon as possible and in any event within 48hours of your acknowledgement email. If you do not notify us within 48 hours, we cannot guarantee that we can make any changes to your order.
4.3 Acceptance of your order by us takes place when we dispatch your order to you, at which point a legally binding contract is formed between you and us on these terms. We will send you a shipping confirmation email to let you know once your order has been dispatched. We have the right to reject any order for any reason.
4.4 If we are making any bespoke or personalised products for you which are based on measurements or other information you provide to us, you are responsible for ensuring that the information is correct.
4.5 All orders are subject to availability. We cannot guarantee that any product will be available at any given time. If this happens, we will accept your order to the extent it can be fulfilled and cancel the rest of the order.
4.6 In certain circumstances beyond our reasonable control, for example where there has been a change in law, we may need to stop selling certain products. If this happens and it affects your order, we may substitute certain products in your order. We shall substitute the products with alternative products of equivalent or greater quality and value, at no additional cost to you. Please get in touch with us if you are not happy with the substituted products.
5. Making changes to your order and cancellation
5.1 If you would like to make any changes to your order after you have submitted it, please contact us as soon as possible and we will let you know if it is possible to change your order.
The remainder of this clause 5 only applies to you if you are a consumer. If you are a business customer, your rights are set out in our offline B2B terms.
5.2 You have 14 days from the delivery dateto change your mind and cancel your order. This doesnot apply to some perishable products or any products that have a protective orhygiene seal if that seal has been broken. If you are unsure whether thecancellation rights apply to your order please contact us.
5.3 If you would like to change or cancel yoursubscription, please refer to clause 14 for more information.
5.4 You may cancel your subscription via your account on our website at any time after receipt of your trial box. Alternatively, please contact us via telephone at 0333 016 3664, emailing us at help@blinkcats.co.ukor writing to us at The Blink Team, Dockham Way, Crick, Northamptonshire, NN67TZ.
5.5 If you have already received your order, you must return the products to us within 14 days of telling us that you want to cancel your order and get proof of postage. The deadline is met if you send the products back to us before the 14-day period has expired.
5.6 Products must be returned to us in a new and unused re-saleablecondition and in their original packaging (other than external packaging thatis used to ship the products). We may make a deduction from the refund amountif you have handled the product in a way that has diminished the value of theproduct, if such handling was beyond what is necessary to establish the nature,characteristics and functioning of the products. You are responsible for theproducts while they are in your possession.
5.7 Unless your products arefaulty or misdescribed, you are responsible for the cost of returning theproducts to us. For information on how toreturn your products to us, pleaserefer to our refund policy below.
5.8 We will provide you with a full refund (including basicdelivery charges) as soon as possible. If you cancelled before you received anyproducts, we will issue the refund no later than 14 days after the day on whichyou told us that you want to cancel. If you have sent products back to us, wewill issue the refund no later than 14 days after the day we receive theproducts back from you or, if earlier, 14 days after the day you provide uswith evidence that you have sent the products back.
5.9 We will issue your refund to the same payment methodyou used when you placed your order.
6. Products
6.1 Descriptions of our products are set out on our siteand the product packaging.
6.2 Please read the product description carefully. Pictures and images of the products or their packaging on our site are for illustration purposes only. Your products and their packaging may vary from those pictures or images.
6.3 We cannot guarantee that the colours displayed on your device will match exactly the appearance of your products. The colours of the products displayed on our site may vary depending on what device you are using and your settings. There may also be natural variations in colour due to the nature of the products (i.e. the ingredients).
6.4 All weights, sizes and measurements set out on our site are as accurate as possible but there may be a small tolerance in accordance with applicable laws.
6.5 We list ingredients for every product on our site. Ingredients may change from time to time and we endeavour to update our site as soon as possible. If you are concerned about ingredients in our products, please check the product packaging before consumption.
6.6 It is your responsibility to check the product packaging to ensure that the pet food contained in it is suitable for your pet and household. We will not be responsible for any adverse reactions to your pet or household due to the consumption of our products.
6.7 Feeding guides are provided as a guide only.
6.8 None of our products are for human consumption.
6.9 If you are a consumer, you must use our products only for domestic and personal use. You must not directly or indirectly use our products for commercial, business or resale purposes.
7. Prices
7.1 The price of your subscription will be the price indicated within your account which you can access on our website. We take all reasonable care to ensure that the subscription price advised to you is correct. All prices are in pounds sterling (£)(GBP) and, if you are a consumer, include VAT at the applicable rate and delivery charges.
7.2 Prices for our products and delivery charges may change at any time. Except as set out in clause 7.3below, such changes will not affect existing orders.
7.3 If there has been an error on the site regarding the pricing of any of our products and this affects your order, we will try to contact you using the contact details you provided when you placed your order. We will give you the option to re-confirm your order at the correct price or to cancel your order. If we are unable to contact you, we will treat the order as cancelled and notify you by email.
8. Payment
8.1 We accept the following credit cards and debit cards: Amex, Visa, Mastercard. You can also pay by Apple Pay and Google Pay. All credit card and debit card payments need to be authorised by the relevant card issuer.
8.2 If you are a consumer or a non-credit account business customer, we will take payment from your card when your order is ready for dispatch. If the payment is unsuccessful, your order will not be accepted.
9. Delivery dates and costs
9.1 Your order will be delivered in accordance with thetimeframes set out in your order.Any delivery dates stated during the order process, or in your orderacknowledgment or shipping confirmation emails, are estimates, unless we haveagreed a specific delivery date with you.
9.2 We will do all that we reasonably can to deliver your order within the timeframes set out in your order. If your delivery is delayed, we will email you to let you know as soon as reasonably possible. However, we are not liable to you for any losses you incur if delivery is delayed circumstances beyond our reasonable control (for example, severe weather, accidents or unpredictable traffic delays).
10. Delivery
10.1 We will deliver your order to the address specified by you when you placed your order.
10.2 Orders may be delivered in instalments.
10.3 We work with a range of UK delivery partners who will contact you directly regarding delivery of your order once it has been dispatched.
10.4 Please examine the products as soon as reasonably possible after delivery and notify us of any fault or damage as soon as reasonably possible.
The remainder of this clause 10 only applies to you if you are a business customer.
10.5 You shall be responsible for:
10.5.1 any duties, taxes or other fees whatsoever payable in connectionwith the importation of the products into any territory outside of mainland UK;and
10.5.2 ensuring the products are compliant with applicable law sin the location to which they are delivered/made available for collection and any other territory in which the products are re-sold. We accept no responsibility and shall not be liable for ensuring such compliance.
11. RISK AND TITLE
Once your order has been delivered to your address or in accordance with the delivery instructions you provided to us, the risk in the products passes to you and the goods are classed as having been ‘delivered’. This means that you are responsible for the products and we are not liable to you if the products are stolen or damaged after they have been delivered to you. This does not affect your legal rights if the products are faulty or misdescribed. Title (ownership) of the products passes to you once you have paid for them in full.
12. Faulty products — consumers
This clause 12 only applies to you if you are a consumer.
12.1 The products that we provide to you must be as described, fit for purpose and of satisfactory quality. We are under a legal duty to supply products that are in conformity with our contract with you.
12.2 During the expected lifespan of your product (e.g. up until any best before date specified on the product packaging), you are entitled to the following:
Up to 30 calendar days from the date on which the product is delivered (or in the case of a perishable product, up to the date on which it can reasonably be expected to have perished, if earlier):
If your product is faulty, you can get an immediate refund.
Up to six months:
If the product cannot be repaired or replaced, then you are entitled to a full refund in most cases.
Up to six years:
If the product does not last a reasonable length of time, you may be entitled to some money back.
12.3 This is a summary of some of your key rights. They are in addition to your cancellation rights set out in clause 5 above.
12.4 If your products are faulty or misdescribed, please contact us as soon as reasonably possible.
13. Events beyond our control
We are not liable to you if we fail to comply with these terms because of circumstances beyond our reasonable control.
14. Our liability to consumers
14.1 This clause 14 only applies to you if you are a consumer. If we breach these terms or are negligent, we are liable to you for foreseeable loss or damage that you suffer as a result. By ‘foreseeable’ we mean that, at the time the contract was made, it was either clear that such loss or damage would occur or you and we both knew that it might reasonably occur, as a result of something we did (or failed to do).
14.2 We are not liable to you for any loss or damage thatwas not foreseeable, any loss or damage not caused by our breach or negligence,or any business loss or damage.
14.3 Nothing in these terms excludes or limits our liabilityfor any death or personal injury to humans caused by our negligence, liabilityfor fraud or fraudulent misrepresentation, or any other liability that the lawdoes not allow us to exclude or limit.
SUBSCRIPTIONS
14.4 We offer a £1 trial for a period of 10 days for new customers to experience our subscription service. By signing up to the trial, you agree to the terms set out in this clause.
14.5 During the trial period, you will receive the productsspecified in your trial order at the promotional price of £1. This trial periodis intended to allow you to evaluate our subscription service.
14.6 If you do not wish to continue with the subscription after the trial period, you must cancel your subscription before the end of the10 day trial period. You can cancel your subscription by accessing the subscription portal within your online account or by contacting us.
14.7 If you do not cancel your subscription before the end of the trial period, your subscription will automatically convert to an ongoing subscription. We will send a reminder to you before your subscription automatically converts.
14.8 When you purchase a subscription you will receive repeat deliveries. These are based on the subscription duration and frequency that you select.
14.9 Your payment details will be stored securely and you'll be charged for each of these deliveries. Some subscriptions may auto-renew at the end of their duration. If you do not want to renew a subscription you can cancel it at any time.
14.10 By signing up to a subscription in the checkout, you confirm that your subscription will automatically renew and your credit card will automatically be charged according to the product subscription price and your subscription preferences at the time of processing, until you change or cancel your subscription.
14.11 We will send reminders to you about an upcoming repeat subscription order. We encourage you to add help@blinkcats.co.uk to your contacts and/or whitelist to prevent notification emails from erroneously being marked as spam/junk.
14.12 You can manage your subscriptions at any time, including viewing and changing the upcoming subscription order and the date of the order, by accessing your account on the Blink website, or by contacting us. Any changes to subscription orders must be made at least a day prior to the date payment is due to be taken.
14.13 You can cancel your subscription at any time, but you will still receive and be charged for any products for which payment has already been taken at the point of cancellation. If you cancel your subscription within 14 days of receiving your first delivery you can choose to exercise your rights undersection 5 and return the product(s) for a full refund.
14.14 A subscription is not considered acceptance of an order nor does it guarantee availability of a product. Acceptance of your order by us takes place when we dispatch your order to you, at which point a legally binding contract is formed between you and us on these terms. We will send you a shipping confirmation email to let you know once your order has been dispatched. We have the right to reject any order for any reason. Whilst we use reasonable efforts to maintain our stock of products, it may be the case that the products under your subscription are temporarily out of stock or unavailable. Should this be the case, we shall substitute the products with alternative products of equivalent or greater quality and value, at no additional cost to you. Please do get in touch with us if you are not happy with the substituted products.
14.15 Subscription prices are subject to change from time to time. Details of current prices can be found on our site and in the subscription portal.
14.16 If you have more than one subscription to be delivered to the same address on the same date, we endeavour to deliver those products in the same delivery but this cannot be guaranteed.
14.17 You can amend, pause and cancel your subscription(s) using the subscription portal within your online account, or by contacting us.
14.18 We reserve the right to cancel or discontinue any subscription at any time for any reason. If a particular product or version of a product is discontinued, we may swap your subscription for an appropriate replacement – we will notify you by email when this happens. In some cases you may be required to swap the product yourself.
14.19 If you are a business customer, different terms apply to subscriptions. Please
15. REFERRAL CODES
15.1 We may offer codes (Referral Codes) to be used to purchase subscriptions on our website.
15.2 When a Referral Code is redeemed to sign up to a subscription, these terms shall apply to that subscription.
15.3 A Referral Code may only be used once on our website and may not be used in conjunction with any other offer.
15.4 Referral Codes may not be sold on, exchanged or redeemed for cash and cannot be used to buy gift vouchers.
15.5 Referral Codes may not be copied, replicated, reproduced, distributed or published either directly or indirectly in any form or stored in a data retrieval system.
15.6 We reserve the right to exclude the use of Referral Codes on certain products and to withdraw or deactivate any Referral Code (unless already paid for) for any reason at any time.

19. Governing law and jurisdiction
19.1 If you are a consumer, the laws of England and Wales apply to these terms, although if you are resident elsewhere you will retain the benefit of any mandatory protections given to you by the laws of that country. Any disputes will be subject to the non-exclusive jurisdiction of the courts of England and Wales. This means that you can choose whether to bring a claim in the courts of England and Wales or in the courts of another part of the UK in which you live.
19.2 If you are a business customer, these terms and any dispute or claim arising out of, or in connection with, the terms, their subject matter or formation (including non-contractual disputes or claims) will be governed by, and construed in accordance with, the laws of England and Wales. You and us both irrevocably agree that the courts of England and Wales will have exclusive jurisdiction to settle any dispute or claim arising out of, or in connection with, these terms, their subject matter or formation(including non-contractual disputes or claims).
20. General terms
20.1 You are not allowed to transfer your rights under these terms to anyone without our prior written consent. We may transfer our rights under these terms to another business without your consent, but we will notify you of the transfer and make sure that your rights are not adversely affected as a result.
20.2 If any provision of these terms (or part of any provision) is or becomes illegal, invalid or unenforceable, the legality, validity and enforceability of any other provision of these terms will not be affected.
20.3 If you breach these terms and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these terms.
20.4 If you are a business customer, any variation to these terms will not be binding unless expressly agreed in writing and executed by a duly authorised signatory on behalf of each of us and you respectively.
20.5 If you are a business customer, you and we both agree that these terms constitute the entire agreement between you and us in relation to your order. You acknowledge that you have not entered into these terms in reliance on any representation or warranty that is not expressly set out in these terms and that you will have no claim for innocent or negligent misrepresentation on the basis of any statement in these terms.
Refund policy
1.1. Where your subscription is terminated either by us or by you, we will refund any advance payment you have made for products which will not be provided to you. For example, if you tell us you want to end the subscription and products have been despatched to you, we will only charge you for supplying the product up to the date of cancellation and will refund any sums you have paid in advance for the supply of further products, subject to you returning those to us.

1.3 All products must be returned in their original packaging and in the same condition that you received them.
1.4. Once your return is received and inspected, we will send you an email to notify you that we have received your returned products and confirm whether or not a refund is due to you.
1.5. We will refund you the price you paid for the products, by the method you used for payment. However, we may reduce your refund of the price (excluding delivery costs)to reflect any reduction in the value of the products resulting from any damage caused as a result of your handling of the products.
1.6. We will make any refunds due to you as soon as possible and as follows:
1.6.1. Your refund will be made within 14 days from the day on which we receive the product back from you or, if earlier, the day on which you provide us with evidence that you have sent the product back to us; or
1.6.2. in all other cases, your refund will be made within 14 days of your telling usyou wish to cancel your subscription.
1.7. Where you return products to us, we will pay the costs of return:
1.7.1. if the products are faulty or misdescribed; or
1.7.2. if you are ending the contract because we have told you of an upcoming change to the product or these terms, an error in pricing or description, a delay in delivery due to events outside our control or because you have a legal right to do so as a result of something we have done wrong.
In all other circumstances, you must pay the costs of return.
1.8. You may return defective or damaged products to us in exchange for which you may receive replacements. Where you require replacement products, please contact us using the contact details above prior to sending any products back to us.

7.3 If there has been an error on the site regarding the pricing of any of our products and this affects your order, we will try to contact you using the contact details you provided when you placed your order. We will give you the option to re-confirm your order at the correct price or to cancel your order. If we are unable to contact you, we will treat the order as cancelled and notify you by email.
8. Payment
8.1 We accept the following credit cards and debit cards: Amex, Visa, Mastercard. You can also pay by Apple Pay and Google Pay. All credit card and debit card payments need to be authorised by the relevant card issuer.
8.2 If you are a consumer or a non-credit account business customer, we will take payment from your card when your order is ready for dispatch. If the payment is unsuccessful, your order will not be accepted.
9. Delivery dates and costs
9.1 Your order will be delivered in accordance with thetimeframes set out in your order.Any delivery dates stated during the order process, or in your orderacknowledgment or shipping confirmation emails, are estimates, unless we haveagreed a specific delivery date with you.
9.2 We will do all that we reasonably can to deliver your order within the timeframes set out in your order. If your delivery is delayed, we will email you to let you know as soon as reasonably possible. However, we are not liable to you for any losses you incur if delivery is delayed circumstances beyond our reasonable control (for example, severe weather, accidents or unpredictable traffic delays).
10. Delivery
10.1 We will deliver your order to the address specified by you when you placed your order.
10.2 Orders may be delivered in instalments.
10.3 We work with a range of UK delivery partners who will contact you directly regarding delivery of your order once it has been dispatched.
10.4 Please examine the products as soon as reasonably possible after delivery and notify us of any fault or damage as soon as reasonably possible.
The remainder of this clause 10 only applies to you if you are a business customer.
10.5 You shall be responsible for:
10.5.1 any duties, taxes or other fees whatsoever payable in connectionwith the importation of the products into any territory outside of mainland UK;and
10.5.2 ensuring the products are compliant with applicable law sin the location to which they are delivered/made available for collection and any other territory in which the products are re-sold. We accept no responsibility and shall not be liable for ensuring such compliance.
11. RISK AND TITLE
Once your order has been delivered to your address or in accordance with the delivery instructions you provided to us, the risk in the products passes to you and the goods are classed as having been ‘delivered’. This means that you are responsible for the products and we are not liable to you if the products are stolen or damaged after they have been delivered to you. This does not affect your legal rights if the products are faulty or misdescribed. Title (ownership) of the products passes to you once you have paid for them in full.
12. Faulty products — consumers
This clause 12 only applies to you if you are a consumer.
12.1 The products that we provide to you must be as described, fit for purpose and of satisfactory quality. We are under a legal duty to supply products that are in conformity with our contract with you.
12.2 During the expected lifespan of your product (e.g. up until any best before date specified on the product packaging), you are entitled to the following:
Up to 30 calendar days from the date on which the product is delivered (or in the case of a perishable product, up to the date on which it can reasonably be expected to have perished, if earlier):
If your product is faulty, you can get an immediate refund.
Up to six months:
If the product cannot be repaired or replaced, then you are entitled to a full refund in most cases.
Up to six years:
If the product does not last a reasonable length of time, you may be entitled to some money back.
12.3 This is a summary of some of your key rights. They are in addition to your cancellation rights set out in clause 5 above.
12.4 If your products are faulty or misdescribed, please contact us as soon as reasonably possible.
13. Events beyond our control
We are not liable to you if we fail to comply with these terms because of circumstances beyond our reasonable control.
14. Our liability to consumers
14.1 This clause 14 only applies to you if you are a consumer. If we breach these terms or are negligent, we are liable to you for foreseeable loss or damage that you suffer as a result. By ‘foreseeable’ we mean that, at the time the contract was made, it was either clear that such loss or damage would occur or you and we both knew that it might reasonably occur, as a result of something we did (or failed to do).
14.2 We are not liable to you for any loss or damage thatwas not foreseeable, any loss or damage not caused by our breach or negligence,or any business loss or damage.
14.3 Nothing in these terms excludes or limits our liabilityfor any death or personal injury to humans caused by our negligence, liabilityfor fraud or fraudulent misrepresentation, or any other liability that the lawdoes not allow us to exclude or limit.
SUBSCRIPTIONS
14.4 We offer a £1 trial for a period of 10 days for new customers to experience our subscription service. By signing up to the trial, you agree to the terms set out in this clause.
14.5 During the trial period, you will receive the productsspecified in your trial order at the promotional price of £1. This trial periodis intended to allow you to evaluate our subscription service.
14.6 If you do not wish to continue with the subscription after the trial period, you must cancel your subscription before the end of the10 day trial period. You can cancel your subscription by accessing the subscription portal within your online account or by contacting us.
14.7 If you do not cancel your subscription before the end of the trial period, your subscription will automatically convert to an ongoing subscription. We will send a reminder to you before your subscription automatically converts.
14.8 When you purchase a subscription you will receive repeat deliveries. These are based on the subscription duration and frequency that you select.
14.9 Your payment details will be stored securely and you'll be charged for each of these deliveries. Some subscriptions may auto-renew at the end of their duration. If you do not want to renew a subscription you can cancel it at any time.
14.10 By signing up to a subscription in the checkout, you confirm that your subscription will automatically renew and your credit card will automatically be charged according to the product subscription price and your subscription preferences at the time of processing, until you change or cancel your subscription.
14.11 We will send reminders to you about an upcoming repeat subscription order. We encourage you to add help@blinkcats.co.uk to your contacts and/or whitelist to prevent notification emails from erroneously being marked as spam/junk.
14.12 You can manage your subscriptions at any time, including viewing and changing the upcoming subscription order and the date of the order, by accessing your account on the Blink website, or by contacting us. Any changes to subscription orders must be made at least a day prior to the date payment is due to be taken.
14.13 You can cancel your subscription at any time, but you will still receive and be charged for any products for which payment has already been taken at the point of cancellation. If you cancel your subscription within 14 days of receiving your first delivery you can choose to exercise your rights undersection 5 and return the product(s) for a full refund.
14.14 A subscription is not considered acceptance of an order nor does it guarantee availability of a product. Acceptance of your order by us takes place when we dispatch your order to you, at which point a legally binding contract is formed between you and us on these terms. We will send you a shipping confirmation email to let you know once your order has been dispatched. We have the right to reject any order for any reason. Whilst we use reasonable efforts to maintain our stock of products, it may be the case that the products under your subscription are temporarily out of stock or unavailable. Should this be the case, we shall substitute the products with alternative products of equivalent or greater quality and value, at no additional cost to you. Please do get in touch with us if you are not happy with the substituted products.
14.15 Subscription prices are subject to change from time to time. Details of current prices can be found on our site and in the subscription portal.
14.16 If you have more than one subscription to be delivered to the same address on the same date, we endeavour to deliver those products in the same delivery but this cannot be guaranteed.
14.17 You can amend, pause and cancel your subscription(s) using the subscription portal within your online account, or by contacting us.
14.18 We reserve the right to cancel or discontinue any subscription at any time for any reason. If a particular product or version of a product is discontinued, we may swap your subscription for an appropriate replacement – we will notify you by email when this happens. 15.1 We may offer codes (Referral Codes) to be used to purchase subscriptions on our website.
15.2 When a Referral Code is redeemed to sign up to a subscription, these terms shall apply to that subscription.

15.4 Referral Codes may not be sold on, exchanged or redeemed for cash and cannot be used to buy gift vouchers.

Promotional offers from us
We may use your Identity, Contact, Technical, Usage and Profile Data to form a view on what we think you may want or need, or what may be of interest to you. MRM Marketing organise our promotional activities for us. This is only done on occasions when we are running an offer. This means that if you opt in to receive marketing communications, we will pass your contact details to MRM to fulfil the offer and send you the item that is the subject of the promotion. We do not authorise MRM to use your data for any other purpose and as soon as it has been used for fulfilling the promotional offer, MRM will delete your data.

• Our provider of IT and system administration services in relation to our website. Both businesses are based outside the EU.
• HM Revenue & Customs, regulators and other authorities based in the United Kingdom who require reporting of processing activities in certain circumstances.
• Our partners who host our website and process your payments on our behalf, such as Stripe.
• Third parties to whom we may choose to sell, transfer, or merge parts of our business or our assets. Alternatively, we may seek to acquire other businesses or merge with them. We value your privacy and the information you consent to share in relation to our SMS marketing service. We use this information to send you text notifications (for your order), marketing information, and transactional texts, including requests for reviews from us.

These terms and conditions apply to the sale of Goods to trade customers. If you are a trade customer who places an order online, then our online terms and conditions of service also apply.
1. DEFINITIONS AND INTERPRETATIONS
The definitions and rules of interpretation set out in Schedule 1 shall apply in these conditions.
2. APPLICATION OF THESE CONDITIONS
2.1 These conditions apply to and form part of the Contract between us and you. They supersede any previously issued terms and conditions of purchase or supply.
2.2 No terms or conditions endorsed on, delivered with, or contained in your purchase conditions, order, confirmation of order, specification or other document shall form part of the Contract except to the extent that we otherwise agree in writing.
2.3 No variation of these conditions or to an Order or to the Contract shall be binding unless expressly agreed in writing and executed by a duly authorised signatory on behalf of each of us and you respectively.
2.4 Each Order by you to us shall be an offer to purchase the Goods subject to the Contract including these conditions.
2.5 If we are unable to fulfil an Order or part of an Order for any reason, such Order (or such part of the Order, as the case may be) will not be accepted.
2.6 We may accept or reject an Order or any part there of at our discretion. An Order shall not be accepted, and no binding obligation to supply any Goods shall arise, until we dispatch the Goods or notify you that they are available for collection (as the case may be).
2.7 We may issue quotations to you from time to time. Quotations are invitations to treat only. They are not an offer to supply the Goods and are incapable of being accepted by you.
2.8 Marketing and other promotional material relating to the Goods are illustrative only and do not form part of the Contract.
2.9 Our employees or agents are not authorised to make any representations concerning the Goods unless confirmed in writing by us. On entering into a contract with us, you acknowledge that you do not rely on, and waive any claim for the breach of any such representations that are not so confirmed.
2.10 Any advice or recommendations given by our employees or our agents to you (or your employees) as to storage, application or use of the Goods, which is followed or acted upon entirely at your own risk and accordingly we shall not be liable for any such advice or recommendation which is not confirmed in writing.
3. PRICE
3.1 The price for the Goods shall be as quoted by us from time to time (the Price).
3.2 Unless otherwise specified in our quotations to you, the Prices are exclusive of:
3.2.1 packaging, delivery, and all other related charges and taxes of the Goods which are not included in the standard price which shall be charged in addition at our standard rates; and
3.2.2 VAT (or equivalent sales tax).
3.3 You shall pay any applicable VAT to us on receipt of a valid VAT invoice.
3.4 We may increase our Prices at any time by giving you not less than 5 Business Days’ notice in writing.
4. PAYMENT
4.1 Save where payment is taken at the point the Order is made, we shall invoice you for the Goods, partially or in full, at any time following dispatch of the Order.
4.2 You shall pay all invoices:
4.2.1 in full without deduction or set-off unless we agree different terms with you from time to time, in cleared funds within the agreed time period for payment, or if no payment period has been agreed, within 28days of the date of each invoice; and
4.2.2 to the bank account nominated by us.
4.3 Time of payment is of the essence. Where sums due under these conditions are not paid in full by the due date:
4.3.1 we may, without limiting its other rights, charge interest on such sums at 4%(four percent) a year above the base rate of the Bank of England from time to time in force; and
4.3.2 interest shall accrue on a daily basis, and apply from the due date for payment until actual payment in full, whether before or after judgment.
5. CREDIT LIMIT
We may set and vary credit limits from time to time and withhold all further supplies if you exceed such credit limit.
6. SUBSCRIPTIONS
6.1 Where we agree to supply Goods to you on a subscription basis (“Subscriptions”),the terms of this clause shall apply.
6.2 The Subscription will commence on the date specified in your Order or as otherwise agreed in writing.
6.3 Unless otherwise agreed, the Subscription will continue for an initial term specified in the Order and will automatically renew for successive periods of equal length unless either party gives not less than 30 days’ notice in writing to terminate prior to the end of the then-current term.
6.4 The Goods will be delivered at the frequency and in the quantities set out in the Order or as otherwise agreed in writing between the parties.
6.5 We reserve the right to amend the delivery schedules or quantities by giving you not less than 30 days’ notice in writing.
6.6 Any changes to the Subscription (including frequency, quantity or delivery address)must be agreed in writing by both parties and may be subject to revised pricing or terms.
7. DELIVERY
7.1 The Goods shall be delivered by us, or our nominated carrier, to the Location on such date(s) as notified to you on dispatch of the Order or made available for collection (as the case may be), on such date(s)and between such times as notified to you on acknowledgement of the Order.
7.2 The Goods delivered by us, or our nominated carrier, shall be deemed delivered on arrival of the Goods at the Location or at the point they are made available for collection (as the case may be).
7.3 You shall be responsible for:
7.3.1 any duties (unless, in the case of import duties, we agree otherwise in writing), taxes or other fees whatsoever payable in connection with the importation of the Goods into any territory outside of the UK; and
7.3.2 ensuring the Goods are compliant with Applicable Laws in the Location and any other territory in which the Goods are re- sold. We accept no responsibility and shall not be liable for ensuring such compliance.
7.4 We may deliver the Goods in instalments. Any delay or defect in an instalment shall not entitle you to cancel any other instalment.
7.5 You shall not be entitled to reject a delivery of the Goods on the basis that an incorrect volume of the Goods has been supplied.
7.6 We shall use reasonable endeavours to meet delivery dates but such dates are indicative only.
7.7 We shall not be liable for any delay in or failure of delivery caused by:
7.7.1 your failure to make the Location available;
7.7.2 your failure to prepare the Location as required for delivery of the Goods;
7.7.3 your failure to provide us with adequate instructions for delivery and installation or otherwise relating to the Goods; or
7.7.4 Force Majeure.
7.8 If you fail to accept delivery of the Goods or collect the Goods on the due date, we shall store and insure the Goods pending delivery, and you shall pay all costs and expenses incurred by us in doing so.
7.9 If five (5) Business Days following the due date for delivery or collection of the Goods, you have not taken delivery of or collected them, we may resell or otherwise dispose of the Goods without any obligation or liability to you, except as provided for in conditions 7.9.1 and 7.9.2. We shall:
7.9.1
deduct all storage charges at our then- applicable rates and reasonable costs of resale; and
7.9.2
invoice you for any shortfall of the resale price below the Price paid by you for the Goods.
8. RISK
Risk in the Goods shall pass to you on delivery or when the Goods are made available for collection (as the case may be).
9. TITLE
9.1 Title to the Goods shall pass to you once we have received payment in full and cleared funds for all of the Goods.
9.2 Until title to the Goods has passed to you, you shall:
9.2.1 hold the Goods as bailee for us;
9.2.2 store the Goods separately from all other material in your possession;
9.2.3 take all reasonable care of the Goods and keep them in the condition in which they were delivered;
9.2.4 insure the Goods from the date of delivery: (i) with a reputable insurer (ii) against all risks (iii) for an amount at least equal to their Price(iv) noting our interest on the policy;
9.2.5 ensure that the Goods are clearly identifiable as belonging to us;
9.2.6 not remove or alter any mark on, or packaging, of the Goods;
9.2.7 inform us immediately if you become subject to an Insolvency Event or any of the events or circumstances set out in conditions 21.1.1 to 21.1.3; and
9.2.8 on reasonable notice permit us to inspect the Goods during your normal business hours and provide us with such information concerning the Goods and your financial status as we may request from time to time.
9.3 Notwithstanding condition 9.2, you may use or resell the Goods in the ordinary course of its business until such time as you become aware or ought reasonably to have become aware that an event specified in conditions 21.1.1 to 21.1.3has occurred or is likely to occur, or you have or are likely to become subject to an Insolvency Event.
9.4 If you resell the Goods in accordance with condition 9.4, title to the Goods shall pass to you immediately prior to the resale.
9.5 If, at any time before title to the Goods has passed to you, you inform us, or we reasonably believe, that you have or are likely to become subject to an Insolvency Event or any of the events or circumstances set out in conditions 21.1.1 to 21.1.3, we may:
9.5.1 require you at your expense to re-deliver the Goods to us; and
9.5.2 if you fail to do so promptly, enter any premises where the Goods are stored and repossess them.
10. WHITE LABEL GOODS
Where we agree a product and/or packaging specification with you, and the Goods are made to such specification, we will enter into a separate agreement with you and will manufacture the Goods in accordance with the terms of that agreement. These terms and conditions shall apply to and be deemed to be incorporated into that agreement, save to the extent expressly disapplied or varied by such agreement.
11. WARRANTY
11.1 We warrant that the Goods shall on delivery:
11.1.1 conform in all material respects to the details confirmed in the dispatch note;
11.1.2 where relevant, conform in all material respects to the any product specification on the packaging; and
11.1.3 be free from material defects in design, material and workmanship.
11.2 As your sole and exclusive remedy, we shall, at our option, repair, replace, or refund the Price of any of the Goods that do not comply with condition 11.1, provided that you:
11.2.1 serve a written notice on us within 7 days from the date on which you became aware (or should reasonably have become aware) of the defect;
11.2.2 provide us with sufficient information as to the nature and extent of the defects and the uses to which the Goods had been put prior to the defect arising;
11.2.3 give us a reasonable opportunity to examine the defective Goods; and
11.2.4 return the defective Goods to us at your expense if requested by us to do so.
11.3 The provisions of these conditions, including the warranties set out in condition 11.1, shall apply to any
of the Goods that are repaired or replaced with effect from the date of delivery of the repaired or replaced Goods.
11.4 We shall not be liable for any failure of the Goods to comply with condition 11.1:
11.4.1 where such failure arises by reason of wear and tear, wilful damage, negligence, or could be expected to arise in the normal course of use of the Goods;
11.4.2 to the extent caused by your failure to comply with our instructions in relation to the Goods;
11.4.3 to the extent caused by us following any instruction or requirement of or given by you in relation to the Goods;
11.4.4 where you use any of the Goods after notifying us that they do not comply with condition 11.1.
11.5 Except as set out in this condition 11, we give no warranties and makes no representations in relation to the Goods and all warranties and conditions (including the conditions implied by ss 13–15 of the Sale of Goods Act 1979), whether express or implied by statute, common law or otherwise are excluded to the extent permitted by law.
12. ANTI-BRIBERY
12.1 For the purposes of this condition 12 the expressions ‘adequate procedures’ and ‘associated with’ shall be construed in accordance with the Bribery Act 2010 and legislation or guidance published under it.
12.2 Each party shall comply with applicable Bribery Laws including ensuring that it has in place adequate procedures to prevent bribery and ensure that all of its personnel, all others associated with it and all of its subcontractors involved in performing the Contract so comply.
12.3 Without limitation to condition 12.2, neither party shall make or receive any bribe (which term shall be construed in accordance with the Bribery Act 2010) or other improper payment or advantage or allow any such bribe or improper payment or advantage to be made or received on its behalf, either in the United Kingdom or elsewhere and shall implement and maintain adequate procedures to ensure that such bribes or improper payments or advantages are not made or received directly or indirectly on its behalf.
12.4 You shall immediately notify us as soon as you become aware of a breach or possible breach by you of any of the requirements in this condition 12.
13. ANTI-TAX EVASION FACILITATION
13.1 You shall not engage in any activity, practice or conduct which would constitute either:
13.1.1 a UK tax evasion facilitation offence under section 45(5)of the Criminal Finances Act 2017; or
13.1.2 a foreign tax evasion facilitation offence undersection 46(6) of the Criminal Finances Act 2017.
13.2 You shall have and shall maintain such policies and procedures as are both reasonable to prevent the facilitation of tax evasion by another person (including without limitation your personnel) and to ensure compliance with condition 13.1.
13.3 You shall notify us immediately in writing if you become aware of any breach of condition 13.1or have reason to believe that you or any person associated with you has received a request or demand from a third party to facilitate the evasion of tax within the meaning of Part 3 of the Criminal Finances Act 2017.
13.4 For the purposes of this condition 13 the meaning of reasonable prevention procedure shall be determined in accordance with any guidance issued under section
47of the Criminal Finances Act 2017 and a person associated with you includes any subcontractor of yours.
14. ANTI-SLAVERY
14.1 We shall comply with the Modern Slavery Act 2015.
14.2 You confirm and agree that:
14.2.1 neither you nor any of your officers, employees, agents or subcontractors have:
14.2.1.1 committed an offence under
the Modern Slavery Act 2015 (an MSA Offence); or
14.2.1.2 been notified that it is
subject to an investigation relating to an alleged MSA Offence or prosecution under the Modern Slavery Act 2015; or
14.2.1.3 are aware of any
circumstances within its supply chain that could give rise to an investigation relating to an alleged MSA Offence or prosecution under the Modern Slavery Act 2015;
14.2.2 you shall comply with the Modern Slavery Act 2015; and
14.2.3 you have implemented due diligence procedures to ensure compliance with the Modern Slavery Act 2015 in your business and supply chain, and those of your officers, employees, agents or subcontractors, which will be made available to us on request at any time throughout the Contract.
14.3 You shall notify us immediately in writing if you become aware or have reason to believe that you, or any of your officers, employees, agents or subcontractors have breached or potentially breached any of your obligations under condition 14.2. Such notice to set out full details of the circumstances concerning the breach or potential breach of your obligations.
15. LIMITATION OF LIABILITY
15.1 The extent of the parties’ liability under or in connection with the Contract (regardless of whether such liability arises in tort, contractor in any other way and whether or not caused by negligence or misrepresentation) shall be as set out in this condition 15.
15.2 Subject to condition 15.5, our total liability shall not exceed the price paid under the invoice to which the relevant Goods relate.
15.3 Subject to condition 15.5, we shall not be liable for consequential, indirect or special losses.
15.4 Subject to condition 15.5, we shall not be liable for any of the following (whether director indirect): (i) loss of profit; (ii) loss of revenue; (iii) loss of production; (iv) loss of contract; (v) loss of commercial opportunity; and (vi) harm to reputation or loss of goodwill.
15.5 Notwithstanding any other provision of the Contract, the liability of the parties shall not be limited in any way in respect of the following: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; and (iii) any other losses which cannot be excluded or limited by Applicable Law.
16. PRODUCT RECALLS/WITHDRAWAL
16.1 In the event that either you or us receive a court order or other notice from a Regulator or Governmental Entity to withdraw, recall, remove or take any other corrective action in connection with a product in the market (Official Product Recall Notice), that party shall notify the other party immediately and shall enclose a copy of such Official Product Recall Notice.
16.2 Both parties shall, in good faith:
16.2.1 work together to undertake or facilitate any product recall, withdrawal, removal or corrective action as expressly required by the Official Product Recall Notice;
16.2.2 use best endeavours to mitigate the costs incurred by either party in performing its obligations under condition 16.2.1.
16.3 If, in the absence of receiving an Official Product Recall Notice, we nevertheless agree to withdraw, recall, remove or take any other corrective action in connection with a product in the market, both parties shall, in good faith:
16.3.1 work together to undertake or facilitate any product recall, withdrawal, removal or corrective action in relation to such product;
16.3.2 use best endeavours to mitigate the costs incurred by either party in performing its obligations under condition 16.3.1.
17. INTELLECTUAL PROPERTYRIGHTS
17.1 Except as expressly set out in this condition 16, no Intellectual Property Rights of either party are transferred or licensed as a result of this Contract. Our Intellectual Property Rights are and shall remain our exclusive property, and your Intellectual Property Rights are and shall remain your exclusive property.
17.2 You hereby grant (and shall procure that each of your Affiliates grants) to us and our Affiliates a non- exclusive, royalty-free license (including the right to grant sub-license to sub-contractors) to use any of your Intellectual Property Rights for the purposes of using your branding in our promotional materials, and to the extent necessary to perform our obligations and exercise our rights under this Contract.
18. INTELLECTUAL PROPERTYRIGHTS INDEMNITY
18.1 Each party (the Indemnifying Party) shall indemnify the other party (the Indemnified Party) from and against any losses, damages, liability, costs and expenses (including reasonable professional fees) incurred by it as a result of any action, demand or claim that use or possession of the Goods infringes the Intellectual Property Rights of any third party (IPR Claim), provided that the Indemnifying Party shall have no such liability if the Indemnified Party:
18.1.1 does not notify the Indemnifying Party in writing setting out full details of any IPR Claim of which it has notice as soon as is reasonably possible;
18.1.2 makes any admission of liability or agrees any settlement or compromise of the relevant IPR Claim without the prior written consent of the Indemnifying Party;
18.1.3 does not let the Indemnifying Party at its request and own expense have the conduct of or settle all negotiations and litigation arising from the IPR Claim at its sole discretion;
18.1.4 does not take all reasonable steps to minimise the losses that may be incurred by it or by any third party as a result of the IPR Claim;
18.1.5 does not, at the Indemnifying Party’s request, provide the Indemnifying Party with all reasonable assistance in relation to the IPR Claim (at the Indemnified Party’s expense) including the provision of prompt access to any relevant premises, officers, employees, contractors or agents of the Indemnified Party; or
18.1.6 uses the Goods in combination with any other goods or services, which without such combination, no IPR Claim could or would have been made.
18.2 If any IPR Claim is made or is reasonably likely to be made, we may at our option:
18.2.1 procure for you the right to continue using and possessing the relevant Goods; or
18.2.2 modify or replace the infringing part of the Goods so as to avoid the infringement or alleged infringement.
18.3 Our obligations under condition 18.1 shall not apply to Goods modified or used by you other than in accordance with the Contract or our instructions. You shall indemnify us against all losses, damages, liability, costs and expenses (including reasonable legal fees) incurred by us in connection with any claim arising from such modification or use.
19. CONFIDENTIALITY AND ANNOUNCEMENTS
19.1 You shall keep confidential all of our Confidential Information and that of any Affiliate of ours and shall only use the same as required to perform the Contract. The provisions of this condition shall not apply to:
19.1.1 any information which was in the public domain at the date of the Contract;
19.1.2 any information which comes into the public domain subsequently other than as a consequence of any breach of the Contract or any related agreement;
19.1.3 any information which is independently developed by you without using information supplied by us or by any Affiliate of ours; or
19.1.4 any disclosure required by law or a regulatory authority or otherwise by the provisions of the Contract.
19.2 This condition 19 shall survive and subsist (notwithstanding the prior termination or expiry of this Contract) without limitation in time.
19.3 You shall not make any public announcement or disclose any information regarding the Contract, except to the extent required by law or regulatory authority.
19.4 The Parties may enter into a separate confidentiality agreement in which case the terms of such agreement shall supersede and take precedence over this condition 19.
20. FORCE MAJEURE
We shall have no liability under, nor be deemed to be in breach of, the Contract if we are unable to fulfil an Order or any part thereof due to Force Majeure.
21. CANCELLATION OF ORDERS
21.1 We may cancel any Order, or part thereof, at any time by giving notice in writing to you if:
21.1.1 you commit a material breach of the Contract and such breach is not remediable;
21.1.2 you commit a material breach of the Contract which is not remedied within 10 Business Days of receiving written notice of such breach; or
21.1.3 you have failed to pay any amount due under any other Order on the due date.
21.2 We may terminate the Contract at any time by giving notice in writing to you if you suffer an Insolvency Event.
21.3 If you become aware that any event has occurred, or circumstances exist, which may entitle us to terminate the Contract under this condition 21, you shall immediately notify us in writing.
21.4 On termination of the Contract for any reason, you shall immediately pay to us all our outstanding unpaid invoices and interest.
21.5 Termination or expiry of the Contract shall not affect any accrued rights and liabilities of us at any time up to the date of termination.
22. EXPORT
22.1 You agree that you will not sell or offer for sale, or in any way export outside of the United Kingdom, Goods which have not been specifically manufactured for export and would represent a contravention of EU regulation sin force. You hereby agree to indemnify us against any export in breach of EU regulations.
23. NOTICES
23.1 Any notice given by a party under these conditions shall:
23.1.1 be in writing and in English;
23.1.2 be signed by, or on behalf of, the party giving it; and
23.1.3 be sent to the relevant party at the address set out in the Contract.
23.1.4 Notices may be given, and are deemed received:
23.1.5 by hand: on receipt of a signature at the time of delivery;
23.1.6 by Royal Mail Recorded Signed For 1stClass post: at 9.00 am on the second Business Day after posting;
23.1.7 by email on receipt of a delivery email from the correct address.
23.2 Any change to the contact details of a party as set out in the Contract shall be notified to the other party in accordance with condition22.1 and shall be effective:
23.2.1 on the date specified in the notice as being the date of such change; or
23.2.2 if no date is so specified, seven Business Days after the notice is deemed to be received.
23.3 This condition 22 does not apply to notices given in legal proceedings or arbitration.
24. FURTHER ASSURANCE
You shall at our request, and at your own cost, do all acts and execute all documents which are necessary to give full effect to the Contract.
25. ENTIRE AGREEMENT
25.1 Subject to conditions 9, 18.4 and 24.2:
25.1.1 the parties agree that the Contract and any documents entered into pursuant to it constitutes the entire agreement between them and supersedes all previous agreements, understandings and arrangements between them, whether in writing or oral in respect of its subject matter; and
25.1.2 each party acknowledges that it has not entered into the Contract or any documents entered into pursuant to it in reliance on, and shall have no remedies in respect of, any representation or warranty that is not expressly set out in the Contract or any documents entered into pursuant to it. No party shall have any claim for innocent or negligent misrepresentation on the basis of any statement in the Contract.
25.2 These terms and conditions may be incorporated by reference into any long term supply agreement and/or joint business plan which may be entered into by the parties from time to time.
25.3 Nothing in these conditions purports to limit or exclude any liability for fraud.
26. VARIATION
No variation of the Contract shall be valid or effective unless it is in writing, refers to the Contract and these conditions and is duly signed or executed by, or on behalf of, each party.
27. ASSIGNMENT
27.1 You may not assign, subcontract or encumber any right or obligation under the Contract, in whole or in part, without our prior written consent.
28. SET-OFF
28.1 You shall pay all sums that you owe to us under the Contract without any set-off, counterclaim, deduction or withholding of any kind, save as may be required by law.
29. NO PARTNERSHIP OR AGENCY
The parties are independent persons and are not partners, principal and agent or employer and employee and the Contract does not establish any joint venture, trust, fiduciary or other relationship between them, other than the contractual relationship expressly provided for in it. None of the parties shall have, nor shall represent that they have, any authority to make any commitments on the other party’s behalf.
30. SEVERANCE
30.1 If any provision of the Contract (or part of any provision) is or becomes illegal, invalid or unenforceable, the legality, validity and enforceability of any other provision of the Contract shall not be affected.
30.2 If any provision of the Contract (or part of any provision) is or becomes illegal, invalid or unenforceable but would be legal, valid and enforceable if some part of it was deleted or modified, the provision or part-provision in question shall apply with the minimum such deletions or modifications as may be necessary to make the provision legal, valid and enforceable. In the event of such deletion or modification, the parties shall negotiate in good faith in order to agree the terms of a mutually acceptable alternative provision.
31. WAIVER
31.1 No failure, delay or omission by us in exercising any right, power or remedy provided by law or under the
Contract shall operate as a waiver of that right, power or remedy, nor shall it preclude or restrict any future exercise of that or any other right, power or remedy.
31.2 No single or partial exercise of any right, power or remedy provided by law or under the Contract by us shall prevent any future exercise of it or the exercise of any other right, power or remedy by us.
32. COMPLIANCE WITH LAW
You shall comply with Applicable Law and shall maintain such licences, authorisations and all other approvals, permits and authorities as are required from time to time to perform your obligations under or in connection with the Contract.
33. THIRD PARTY RIGHTS
33.1 A person who is not a party to the Contract shall not have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of the provisions of the Contract.
34. GOVERNING LAW AND JURISDICTION
34.1 The Contract and any dispute or claim arising out of, or in connection with, it, its subject matter or formation (including non-contractual disputes or claims)shall be governed by, and construed in accordance with, the laws of England and Wales.
34.2 The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of, or in connection with, the Contract, its subject matter or formation (including non-contractual disputes or claims).
1. DEFINITIONS AND INTERPRETATION
SCHEDULE 1
Business Day: means a day other than a Saturday, Sunday or bank or public holiday when banks generally are open for non-automated business in England;
1.1 In these conditions, unless the context requires otherwise:
1.1.1 a reference to the Contract includes these conditions, and the Order;
1.1.2 any condition, schedule or other headings in these conditions is included for convenience only and shall have no effect on the interpretation of the conditions;
1.1.3 a reference to a party includes that party’s personal representatives, successors and permitted assigns;
1.1.4 a reference to a ‘person’ includes a natural person, corporate or unincorporated body (in each case whether or not having separate legal personality) and that person’s personal representatives, successors and permitted assigns;
1.1.5 a reference to a ‘company’ includes any company, corporation or other body corporate, wherever and however incorporated or established;
1.1.6 words in the singular include the plural and vice versa;
1.1.7 any words that follow ‘include’, ‘includes’, ‘including’, ‘in particular’ or any similar words and expressions shall be construed as illustrative only and shall not limit the sense of any word, phrase, term, definition or description preceding those words;
1.1.8 a reference to ‘writing’ or ‘written’ includes any method of reproducing word sin a legible and non-transitory form;
1.1.9 a reference to legislation is a reference to that legislation as in force at the date of the Contract and includes all subordinate legislation made as at the date of the Contract; and
1.1.10 a reference to any English action, remedy, method of judicial proceeding, court, official, legal document, legal status, legal doctrine, legal concept or thing shall, in respect of any jurisdiction other than England, be deemed to include a reference to that which most nearly approximates to the English equivalent in that jurisdiction.
1.2 In these conditions the following definitions apply:
Affiliate: means any entity that directly or indirectly Controls, is Controlled by or is under common Control with, another entity;
Applicable Law: means all applicable laws, legislation, statutory instruments, regulations and governmental guidance having binding force;
Bribery Laws: means the Bribery Act 2010 and all Applicable Laws in connection with bribery or anti- corruption;
Confidential Information: means any commercial, financial or technical information, information relating to the Goods, plans, know-how or trade secrets which is obviously confidential in nature or has been identified as confidential, or which is developed by a party in performing its obligations under, or otherwise pursuant to the Contract;
Contract: means the agreement between us and you for the sale and purchase of the Goods incorporating these conditions and the Order;
Control: means the beneficial ownership of more than 50% of the issued share capital of a company or the legal power to direct or cause the direction of the management of the company and Controls, Controlled and under common Control shall be construed accordingly;
Documentation: means any descriptions, instructions, manuals, literature, technical details or other related materials supplied in connection with the Goods;
Force Majeure: means an event or sequence of events beyond a party's reasonable control preventing or delaying it from performing its obligations under the Contract including an act of God, fire, flood, lightning, earthquake or other natural disaster, war, riot or civil unrest, interruption or failure of supplies of power, fuel, water, transport, equipment or telecommunications service, or material required for performance of the Contract, strike, lockout or boycott or other industrial action including those involving us or our workforce, but excluding the your inability to pay or circumstances resulting in the your inability to pay;
Goods: means the goods set out in the Order or understood by the parties to be included in the Goods and to be supplied by us to you in accordance with the Contract;
Governmental Entity: means any court, administrative body, local authority or other governmental or quasi-governmental entity with competent jurisdiction, any supra-national, national, federal, state, municipal, provincial or local governmental, regulatory or administrative authority, agency, commission, court, tribunal, arbitral body, self-regulated entity, private body exercising any regulatory, taxing, importing or other governmental or quasi-governmental authority or other governmental entity, including any relevant Regulator;
Indemnified Party: has the meaning given in condition 17.1;
Indemnifying Party: has the meaning given in condition 17.1;
Insolvency Event: means if you:
(a) stop carrying on all or a significant part of your business, or you indicate in any way that you intend to do so;
(b) are unable to pay your debts either within the meaning of section 123 of the Insolvency Act 1986 or if we reasonably believe that to be the case;
(c) become the subject of a company voluntary arrangement under the Insolvency Act 1986;
(d) become subject to a moratorium under Part A1 of the Insolvency Act 1986;
(e) become subject to a restructuring plan under Part26A of the Companies Act 2006;
(f) become subject to a scheme of arrangement under Part 26 of the Companies Act 2006;
(g) have a receiver, manager, administrator or administrative receiver appointed over all or any part of your undertaking, assets or income;
(h) have a resolution passed for your winding up;
(i) have a petition presented to any court for your winding up or an application is made for an administration order, or any winding-up or administration order is made against you;
(j) are subject to any procedure for the taking control of your goods that is not withdrawn or discharged within seven days of that procedure being commenced;
(k) have a freezing order made against you;
(l) are subject to any recovery or attempted recovery of items supplied to you by a supplier retaining title to those items;
(m) are subject to any events or circumstances analogous to those in this definition in any jurisdiction; or
(n) take any steps in anticipation of, or have no realistic prospect of avoiding, any of the events or procedures described in this definition including giving notice for the convening of any meeting of creditors, issuing an application at court or filing any notice at court, receiving any demand for repayment of lending facilities, or passing any board resolution authorising any steps to be taken to enter into an insolvency process.
Intellectual Property Rights: means copyright, patents, know-how, trade secrets, trade marks, tradenames, design rights, rights in get-up, rights in software, rights in goodwill, rights in Confidential Information, rights to invention, rights to sue for passing off, domain names and all other intellectual property rights and similar rights and, in each case:
(a) whether registered or not
(b) including any applications to protect or register such rights
(c) including all renewals and extensions of such rights or applications
(d) whether vested, contingent or future
(e) to which the relevant party is or may be entitled, and
(f) in whichever part of the world existing;
IPR Claim: has the meaning given in condition 17.1;
Location: means the address or addresses for delivery of the Goods as set out in the Order or as otherwise agreed by us;
Manufacturing Site: means the manufacturing site(s) operated by us;
MSA Offence: has the meaning given in condition 13.2.1;
Official Product Recall Notice: has the meaning given in condition 15.1;
Order: means an order for the Goods from us placed by you;
our, us or we: means as the case may be and the party who you enter into a Contract with for Goods:
Inspired Pet Nutrition Limited or any trading division of Inspired Pet Nutrition Limited, a company registered in England and Wales with registered company number 02495237 whose registered office address is at Dalton Airfield, Topcliffe, Thirsk, North Yorkshire, United Kingdom, YO7 3HE; or
Butcher’s Pet Care Limited, a company registered in England and Wales with registered company number 0716195 whose registered office address is at Baker Group House, Dockham Way, Crick, Northamptonshire, NN6 7TZ;
Price: has the meaning given in condition3.1;
Regulator: means any relevant authority which regulates the manufacture or distribution of pet food;
VAT: means value added tax under the Value Added Taxes Act 1994 or any other similar sale or fiscal tax applying to the sale of the Goods; and
You or your: means the named party in the Contract which has agreed to purchase the Goods from us and whose details are set out in the Order.

We operate a supplier approval and management process which aims to identify risks in the supply chain through extensive questionnaires, and to be prepared to be audited, so that their standards will stand up to inspection. We are aiming to ensure that all of our suppliers are SEDEX registered and that they have all recently completed supplier questionnaires and been risk assessed.
Training
We have trained a cross-section of senior managers as part of the “Stronger Together”initiative, which is sponsored by all of the UK major retailers and the Gangmasters Licencing Authority (GLA), which requires suppliers to make sure that they have procedures in place to identify and eliminate modern Slavery and human trafficking. Refresher training will take place to reflect recent additions to the Act.
Plans for the future
We are committed to reviewing and improving all of our systems and procedures relating toour supply chain and to include all indirect purchases and services, such as site security,vending, catering, contractors, etc. and to identify and address all risks in connection with Modern Slavery and Human Trafficking.
A risk assessment of the supply chain will take place to assess any areas of high risk so that any areas of concern can be addressed and potential risks eliminated.
